By accessing and using the services of Knowledge Genie Ninja ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Knowledge Genie Ninja.

  • Project Management: End-to-end project management for office fit-outs and refurbishments
  • Sustainable Design: Environmentally conscious office design and sustainable furniture options
  • Technology Integration: Smart office solutions and technology integration services

4. Service Terms and Conditions

4.1 Quotations and Proposals

  • All quotations are valid for 30 days unless otherwise specified
  • Prices are subject to change based on market conditions and supplier pricing
  • Final pricing will be confirmed in writing before project commencement
  • Quotations are based on information provided by the client and site conditions as understood at the time of quotation

4.2 Contracts and Orders

  • A formal contract or purchase order is required before work commences
  • Changes to the scope of work must be agreed in writing and may affect pricing and timelines
  • Client approval is required at key project milestones before proceeding
  • All specifications and designs remain property of Knowledge Genie Ninja until full payment is received

4.3 Payment Terms

  • Payment terms are typically 30 days from invoice date unless otherwise agreed
  • A deposit may be required before work commences, typically 30-50% of the total project value
  • Progress payments may be required for larger projects based on milestones
  • Late payment charges of 1.5% per month may apply to overdue accounts
  • We reserve the right to suspend work or withhold delivery for overdue payments

5. Client Responsibilities

The Client agrees to:

  • Provide accurate and complete information about requirements, site conditions, and constraints
  • Grant reasonable access to premises for surveys, measurements, and installation
  • Ensure premises are ready for delivery and installation as scheduled
  • Obtain necessary permissions, permits, and approvals required for the work
  • Review and approve designs, specifications, and samples in a timely manner
  • Comply with health and safety requirements and inform us of any relevant hazards
  • Make timely payments in accordance with agreed terms

6. Delivery and Installation

6.1 Delivery Terms

  • Delivery times are estimates and may be subject to change due to circumstances beyond our control
  • Risk passes to the client upon delivery to the specified address
  • Client must inspect deliveries and report any damage or discrepancies within 48 hours
  • Additional charges may apply for special delivery requirements or difficult access

6.2 Installation Services

  • Installation will be carried out by qualified professionals in accordance with manufacturer specifications
  • Client must ensure clear access and suitable working conditions
  • Any pre-existing conditions that may affect installation must be disclosed
  • Additional costs may apply for modifications required due to site conditions

7. Warranties and Guarantees

7.1 Product Warranties

  • Manufacturer warranties apply to all furniture and equipment supplied
  • Warranty periods vary by product and manufacturer, typically 1-10 years
  • Warranties cover manufacturing defects but exclude normal wear and tear
  • Warranty claims must be reported promptly with supporting documentation

7.2 Service Guarantees

  • We guarantee our installation work for 12 months from completion
  • Design services are guaranteed to meet agreed specifications and building codes
  • We will remedy any defects in our workmanship at no charge during the guarantee period
  • Guarantees exclude damage caused by misuse, accidents, or normal wear and tear

8. Limitation of Liability

  • Our total liability for any claim is limited to the value of the specific goods or services in question
  • We exclude liability for indirect, consequential, or special damages including lost profits
  • We are not liable for delays caused by circumstances beyond our reasonable control
  • Claims must be made within 12 months of the incident giving rise to the claim
  • Nothing in these terms excludes our liability for death, personal injury, or fraud

9. Intellectual Property

  • All designs, drawings, and specifications remain our intellectual property until full payment
  • Clients receive a license to use designs for the specific project only
  • We retain the right to use project images and details for marketing purposes unless otherwise agreed
  • Third-party intellectual property rights are respected and protected

10. Cancellation and Returns

10.1 Client Cancellation

  • Projects may be cancelled with written notice, subject to cancellation charges
  • Cancellation charges cover work completed, goods ordered, and reasonable costs incurred
  • Custom or made-to-order items cannot be cancelled once production has commenced
  • Cancellation within 48 hours of scheduled delivery may incur additional charges

10.2 Returns Policy

  • Returns are only accepted for defective or damaged goods
  • Returns must be authorized in advance and goods returned in original packaging
  • Custom or made-to-order items cannot be returned unless defective
  • Return shipping costs are the responsibility of the client unless goods are defective

11. Health and Safety

  • We are committed to maintaining high health and safety standards in all our operations
  • All work will be carried out in compliance with relevant health and safety legislation
  • Clients must inform us of any health and safety hazards or requirements on their premises
  • Risk assessments and method statements will be provided for installation work
  • We maintain appropriate insurance coverage for all our activities

12. Data Protection and Privacy

13. Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

  • Labor disputes, strikes, or lockouts
  • Supply chain disruptions or material shortages
  • Pandemic, epidemic, or public health emergencies
  • Cyber attacks or significant IT system failures

14. Governing Law and Jurisdiction

  • Any disputes will be subject to the exclusive jurisdiction of the English courts
  • We will first attempt to resolve disputes through negotiation and mediation

  • Email communications are acceptable for day-to-day project management
  • We will communicate project progress and any issues promptly
  • Clients should notify us immediately of any changes to contact information

17. Amendments and Updates

  • We reserve the right to update these Terms from time to time
  • Material changes will be communicated to existing clients
  • Updated Terms will be posted on our website with the revision date
  • Continued use of our services constitutes acceptance of updated Terms

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be replaced with a valid provision that most closely reflects the original intent.

19. Entire Agreement

These Terms, together with any written contract or purchase order, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter.
